Stephen Stwora-Hail

Steve has more than 30 years of experience representing members of the Sacramento Region’s real estate and business community. His depth of knowledge and experience in transactions for real estate, finance and business, as well as entity formation, has garnered him a reputation of one of the premier real estate lawyers in Sacramento.

In his years of practicing real estate law, he has negotiated for all sides of the table – from developers and landowners to business owners and tenants. Steve has represented commercial developers of retail, office, industrial/warehousing and residential projects with the acquisition, land use, development, construction and leasing of their properties. 

He also specializes in entity formation, assisting developers with their holdings for tax purposes and investment strategies. 

Steve represents agricultural clients in the sale, acquisition and leasing of farms, vineyards and ranches, and in negotiating easements, oil and gas leases, farm management agreements, crop purchase agreements, financing packages, and leases and easements for communication towers, wind turbines, and solar farms. 

Steve has broad experience in financial and business matters, having represented some of the state’s leading financial institutions and businesses. Not only has he served as an advisor for them concerning matters of federal and state compliance, but he has also assisted them with vendor, IT and consultant contracts, human resources, trademark and copyright issues, and general litigation support. Given Steve’s wide scope of practice, he is considered a relationship attorney who can guide and assist his clients through all their legal needs. 

Steve is a member of, and has served in leadership and advisory positions for numerous groups including as Chair of the Real Property Law Section of the California State Bar, a member of the Governing Board of the California Continuing Education of the Bar (CEB), a member of the Advisory Committee for the California Business Properties Association, and the Northern California Government Relations Chair for the International Council of Shopping Centers. 

Steve is frequently invited as a speaker for the American Bar Association, CEB, the Real Property Law Section and ICSC. He co-authored chapters in CEB’s handbooks, “California Easements and Boundaries” and “California Real Estate Transactions.” 

He received a BA in Political Science from the University of Chicago in 1977, and received his J.D. from the University of Santa Clara School of Law in 1982. 

Steve currently resides in Sacramento County with his wife, René. They enjoy travelling and spending quality time with their lovely daughter Chelsea and son-in-law Blake.

  • Negotiated transactions on behalf of retail developers with national tenants, including Home Depot, Lowe’s, Target, Best Buy, Smart & Final, PetsMart, Staples, TJ Maxx, Office Max, Sleep Train, Walgreens, Starbucks, AutoZone, Habit Burger, MOD Pizza, Panera Bread, Carl’s Jr., Mimi’s Cafe, Chili’s, Kragen Auto Parts, McDonald’s, Panda Express, Chipotle, Quiznos, Taco Bell, Jamba Juice, In-N-Out Burger, Chipotle, 7-Eleven, Circle K and many more
  • Negotiated the acquisition, development, CC&Rs and lease agreements for the construction of over 50 shopping centers for a premier grocery store chain and local developers 
  • Assisted in the financing of a $35 million warehouse distribution site in North Natomas for a local grocer 
  • Represented a Trust in development of their 10-city block mixed-use project along the Sacramento River in West Sacramento. Obtained all entitlements for the site through various development agreements and an owner’s participation agreement, and negotiated sales of parcels
  • Assisted the State of California in ground leasing 150 acres of land to a realty company for the development of 3 million square feet of warehouse space 
  • Assisted California’s largest credit union in developing its six-story office headquarters in South Sacramento 
  • Assisted the State of California in leasing 280,000 square feet of office space in the City of Elk Grove 
  • Assisted a national dairy in its purchase of a 600 acre farm where funding for the acquisition costs were simultaneously negotiated through the dairy’s sale of conservation easements to The Nature Conservancy
  • Represented the family owners of 1,000 acres of agricultural land near Travis Air Force Base on annexation and land use matters
  • Negotiated hundreds of cellular tower and rooftop leases and easements for both carriers and landlords
